TERMS OF SERVICE

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your", or "User") and Business Innovation Solutions WLL, a company organized under the laws of the Kingdom of Bahrain ("BIS", "we", "our", or "us"), governing your access to and use of the SoafAii Sextant browser extension (the "Extension") and any related services we provide (collectively, the "Service").
By installing, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not install or use the Service.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and "you" refers to that entity and its authorized users.
2. Description of the Service
SoafAii Sextant is a browser extension that provides a productivity layer over the Anthropic Claude conversational AI service. The Service includes features such as a multi-conversation cockpit, AI-state indicators, project organization, custom labels and links, integrated research, and other productivity tooling for users of Claude.
The Service does not replace or substitute for Claude. The Service requires you to maintain your own active account with Anthropic and operates by augmenting your interactions with claude.ai through your browser.
BIS reserves the right to modify, enhance, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes that adversely affect Service functionality.
3. Eligibility and Account Registration
To use the Service, you must:
Be at least sixteen years of age, or such higher age as required by your jurisdiction to enter into a binding contract.
Maintain an active account with Anthropic in good standing.
Have the legal capacity to enter into these Terms.
Not be located in, or a national or resident of, any jurisdiction subject to comprehensive economic sanctions imposed by the United Nations, the European Union, the United Kingdom, or the United States.
You are responsible for maintaining the confidentiality of any credentials associated with your subscription and for all activity that occurs under your subscription.
4. Subscriptions, Trial, and Payment
4.1 Trial period
New Users are offered a seven-day free trial of the Service from the date of installation. During the trial, you have access to all features of the Service. No payment information is required to begin the trial.
At the end of the trial period, you must subscribe to a paid plan to continue using the Service. The Extension will not function beyond the trial period without an active subscription.
4.2 Subscription plans and pricing
The Service is offered under the following subscription plans:
Monthly plan: EUR 15 per month, billed monthly.
Annual plan: EUR 129 per year, billed annually.
All prices are exclusive of any applicable taxes, including value-added tax (VAT), goods and services tax (GST), or sales tax. Applicable taxes will be calculated and added at checkout based on your billing location.
Pricing in currencies other than EUR is converted by Paddle at prevailing exchange rates and may vary from time to time. The price displayed at checkout is the price you will pay.
BIS reserves the right to modify subscription pricing. Price changes will not affect your current subscription term and will take effect at the next renewal.
4.3 Merchant of Record
Paddle.com Market Limited ("Paddle") is the Merchant of Record for all transactions related to the Service. Paddle handles billing, payment processing, currency conversion, tax calculation and remittance, and invoice generation on behalf of BIS.
Your purchase of a subscription is subject to Paddle's Buyer Terms of Service and Paddle's Privacy Notice, available at paddle.com/legal. By subscribing to the Service, you also accept Paddle's terms.
4.4 Renewal and cancellation
Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel your subscription at any time through the Paddle customer portal or by contacting us.
Upon cancellation, your subscription remains active until the end of the current billing period, after which the Service will cease to function for you. You will not be charged for subsequent billing periods.
BIS reserves the right to terminate or suspend your subscription for material breach of these Terms, fraudulent activity, or as required by law.
4.5 Refund policy
You may request a full refund of your initial annual subscription payment within fourteen days of the purchase date, provided that you have not made substantial use of the Service during that period.
Monthly subscriptions are non-refundable once charged. You may cancel a monthly subscription at any time, and the cancellation will take effect at the end of the current billing period.
Refund requests must be submitted to Paddle through the customer portal or by emailing the contact address provided in section 12. Refunds, when granted, are processed by Paddle to the original payment method within fourteen business days.
Statutory refund rights granted by your jurisdiction's consumer protection laws are unaffected by this section.
5. License to Use the Service
Subject to your compliance with these Terms and payment of all applicable subscription fees, BIS grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service for your personal or internal business purposes during the term of your subscription.
This license does not grant you any ownership rights in the Service. All right, title, and interest in and to the Service, including all intellectual property rights, remain the property of BIS and its licensors.
6. Acceptable Use
You agree not to use the Service to:
Violate any applicable law, regulation, or third-party right.
Engage in fraudulent, deceptive, or misleading conduct.
Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service, except to the extent permitted by applicable law.
Circumvent or attempt to circumvent any technical limitations of the Service, including subscription verification mechanisms.
Use the Service to develop a competing product or service.
Resell, redistribute, sublicense, or otherwise transfer the Service to third parties without our prior written consent.
Use the Service in connection with any activity that is illegal under applicable law, including without limitation the development of weapons of mass destruction, terrorism financing, money laundering, or child exploitation.
Submit prompts or content through the Service that violate Anthropic's Acceptable Use Policy or any other applicable third-party terms.
Engage in automated or large-scale extraction of data from the Service, except through authorized features.
7. Artificial Intelligence Disclaimers
The Service interacts with and provides a productivity layer over third-party artificial intelligence services, primarily Anthropic Claude. You acknowledge and agree that:
AI-generated outputs may be inaccurate, incomplete, biased, or otherwise unsuitable for your intended use. You are solely responsible for verifying the accuracy and appropriateness of any AI-generated content before relying on it.
BIS does not control, generate, certify, or warrant any AI-generated outputs. Such outputs are produced by third-party AI providers and are subject to those providers' terms and limitations.
You must not rely on AI-generated outputs for decisions involving safety, health, legal, financial, medical, or other matters where errors could cause harm.
AI-state indicators provided by the Service are derived from observation of the AI provider's interface and may be incorrect, delayed, or absent in some circumstances.
BIS expressly disclaims all responsibility for the content, accuracy, and consequences of AI-generated outputs accessed through or in connection with the Service.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes the categories of personal information we collect, how we use that information, and your rights regarding that information. You should review the Privacy Policy carefully before using the Service.
9. Disclaimers and Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR COMPLETENESS OF CONTENT.
Without limiting the foregoing, BIS does not warrant that:
The Service will meet your specific requirements or expectations.
The Service will be uninterrupted, timely, secure, or error-free.
Any defects in the Service will be corrected.
The Service is compatible with all browsers, operating systems, or third-party software.
Third-party AI providers will continue to be available, will not change their terms, or will produce accurate outputs.
You assume all risk associated with your use of the Service.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
THE TOTAL CUMULATIVE LIABILITY OF BIS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BIS FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED EUROS.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits our liability for fraud, willful misconduct, gross negligence, or any other liability that cannot be excluded by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless BIS and its directors, officers, employees, agents, and licensors from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
Your use of or access to the Service in violation of these Terms or applicable law.
Your violation of any third-party right, including intellectual property, privacy, or contractual rights.
Content you submit, transmit, or share through the Service.
Any AI-generated outputs you obtain through the Service and subsequently use.
12. Term and Termination
These Terms remain in effect for as long as you use the Service or maintain an active subscription, whichever is longer.
BIS may terminate or suspend your access to the Service immediately, without notice, if you materially breach these Terms, engage in fraudulent or unlawful activity, or fail to pay any subscription fees when due.
Upon termination, all rights granted to you under these Terms will cease, and you must uninstall the Extension. Provisions of these Terms that by their nature should survive termination, including limitation of liability, indemnification, and governing law, will survive.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Kingdom of Bahrain, without regard to its conflict-of-laws principles.
Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, interpretation, breach, or termination, will be subject to the exclusive jurisdiction of the courts of the Kingdom of Bahrain.
Notwithstanding the foregoing, BIS may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.
Consumer rights under the laws of your country of residence are unaffected by this section to the extent those rights cannot be excluded by contract.
14. Changes to These Terms
BIS may update these Terms from time to time to reflect changes in the Service, applicable law, or our business practices. When we make material changes, we will notify you by updating the "Effective date" at the top of these Terms and, where appropriate, providing additional notice through the Service or by email.
Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription and stop using the Service.
15. Miscellaneous
15.1 Entire agreement
These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and BIS regarding the Service and supersede all prior or contemporaneous communications, representations, or agreements.
15.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.
15.3 Waiver
Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of BIS.
15.4 Assignment
You may not assign or transfer these Terms or any rights hereunder without our prior written consent. BIS may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.
15.5 No third-party beneficiaries
These Terms do not create any rights for, or confer any benefits upon, any person or entity that is not a party to these Terms.
15.6 Force majeure
BIS will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemic, fire, flood, earthquake, internet or telecommunications failures, or third-party service disruptions.
